Something that is “impending” IS going to happen, and soon.

Something that is “potential” MAY happen.

Impending means that something is about to happen. Potential means that something is possible to happen.

IMPENDING MEANS SOON TO HAPPEN WITH THE IMPLICATION OF SOMETHING HANGING OVER SOMEONE. POTENTIAL MEANS THE POSSIBILITY IS THERE ALL THINGS NECESSARY TO MAKE IT HAPPEN ARE IN PLACE BUT IT DOESN’T APPEAR IMMINENT.
