What is a better way of saying “profits that were decided to be distributed” in the sentence below?

What is a better way of saying “profits that were decided to be distributed” in the sentence below and are there any other corrections that can be made to improve it?

“The Company shall not be entitled to take resolutions on distribution of its profits amongst Members of the Company and distribute profits that were decided to be distributed.”

“. . .and distribute shared profits.”

“. . .and distribute gainshares.”

“. . .and distribute said profits.” (works only if you defined them earlier in the piece)

This is confusing for me, but maybe….

The Company shall not be entitled to make resolutions for distribution of its profits among Members of the Company.

If they can’t make any resolutions to distribute, then there are no distributions…?
